- Use of Materials: Clients grant Digivate LLC a non-exclusive, royalty-free license to use client-provided materials for the purpose of delivering the services.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the service agreement. This obligation will continue beyond the termination of the service agreement.
9. Limitation of Liability
Digivate LLC will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the services provided. Our total liability for any claim arising under these terms will not exceed the amount paid by the client for the services in question.
10. Termination
Either party may terminate the service agreement with written notice, subject to the terms outlined in the service agreement. Upon termination, clients agree to pay for all services rendered up to the date of termination.
11. Governing Law
These Terms and Conditions and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the state in which Digivate LLC operates.
12. Changes to Terms
Digivate LLC reserves the right to modify these Terms and Conditions at any time. Changes will be posted on our website and will become effective immediately upon posting.
